1. Agreement to Terms

By accessing or using InvoiceMaker ProMax ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

InvoiceMaker ProMax is a web-based invoice generation and management platform that allows users to:

  • Create and manage professional invoices
  • Manage customer and product databases
  • Customize invoice branding and design
  • Generate PDF invoices
  • Email invoices to customers
  • Track invoice history and payments

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4. Subscription Plans

4.1 Free Plan

The Free Plan provides basic invoice creation features with limited customization options. The Free Plan is available indefinitely at no cost.

4.2 Premium Plans

Premium Plans (Monthly and Annual) provide access to advanced features including:

  • Custom logo and branding
  • Custom color themes
  • White-label invoices (no InvoiceMaker branding)
  • Professional PDF generation
  • Email invoice delivery
  • Priority customer support

4.3 Pricing

  • Monthly Plan: $25 USD per month (approximately Rs. 2,500)
  • Annual Plan: $250 USD per year (approximately Rs. 25,000) - Save 17%

Prices are subject to change with 30 days notice. Current subscribers will be notified before any price changes take effect.

5. Payment Terms

5.1 Payment Processing

All payments are processed securely through PayPal. We do not store your credit card information on our servers.

5.2 Billing Cycle

  • Monthly Plan: Billed every 30 days from subscription date
  • Annual Plan: Billed once per year from subscription date

5.3 Automatic Renewal

Subscriptions DO NOT automatically renew. You will receive email reminders 3 days before expiry. After expiry, your account will be downgraded to the Free Plan.

5.4 Failed Payments

If a payment fails, you will be notified via email. Your subscription will remain active for 7 days to allow time for payment resolution.

7. User Responsibilities

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Create fake invoices or engage in fraudulent activity
  • Share your account credentials with others
  • Resell or redistribute the Service without permission

8. Intellectual Property

The Service and its original content, features, and functionality are owned by InvoiceMaker ProMax and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all invoices, customer data, and content you create using the Service.

9. Data Ownership and Export

You own all data you input into the Service. You may export your data at any time in standard formats (PDF, CSV).

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

11. Limitation of Liability

InvoiceMaker ProMax shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

Our maximum liability shall not exceed the amount paid by you for the Service in the 12 months prior to the claim.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

  • Violates these Terms
  • Is harmful to other users, us, or third parties
  • Violates applicable laws

You may terminate your account at any time by contacting support. Upon termination, your data will be retained for 30 days before permanent deletion.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Service after changes constitutes acceptance of modified terms.

Material changes will be notified via email at least 30 days in advance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration in Colombo, Sri Lanka.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and InvoiceMaker ProMax regarding the Service and supersede all prior agreements.
